Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Polyaxis software platform and related services (collectively, the "Services") provided by Polyaxis LLC, a Delaware limited liability company ("Polyaxis," "Company," "we," or "us").

By creating an account, connecting a wallet, purchasing a subscription, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

1. Acceptance of Terms

You accept these Terms by:

  • creating an account,
  • connecting a wallet or third-party account,
  • purchasing a Subscription, or
  • otherwise accessing or using the Services.

These Terms incorporate by reference:

  • the Polyaxis Privacy Policy, and
  • any additional policies, disclosures, or terms presented within the Services, including fee schedules, acceptable use policies, and beta feature terms.

Polyaxis may update these Terms from time to time. Updates become effective upon posting or notice. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.

2. Definitions

  • "Company" means Polyaxis LLC.
  • "User" or "you" means any individual or entity that accesses or uses the Services.
  • "Services" means Polyaxis's software tools, interfaces, analytics, automation features, and related functionality.
  • "Trading Venue" means any third-party exchange, market, prediction market, or trading platform integrated with or accessible through the Services.
  • "Third-Party Services" means Trading Venues and any other third-party products, services, or software.
  • "Orders" means instructions submitted by a User to a Trading Venue.
  • "Automated Trading Rules" means user-defined conditional logic or instructions that may automatically submit Orders.
  • "Paper Trading," "Sandbox," or "Simulation" means hypothetical or non-live trading environments.
  • "Live Trading" means trading involving real funds on a Trading Venue.
  • "Subscription" means a paid plan providing access to the Services.

Definitions shall not be interpreted to imply custody, brokerage, advisory, fiduciary, or agency relationships.

3. Description of the Services

3.1 What Polyaxis Provides

Polyaxis provides software tools that allow Users to:

  • view and monitor market information,
  • analyze data and performance metrics,
  • create and manage Orders for submission to supported Trading Venues,
  • define and enable Automated Trading Rules and conditional orders,
  • access alerts, analytics, and simulations.

The Services facilitate interaction with Third-Party Services but do not replace them.

3.2 What Polyaxis Does Not Provide

Polyaxis does not:

  • operate a trading venue or exchange,
  • custody, hold, control, or settle funds or assets,
  • access private keys,
  • act as a broker, dealer, market maker, or agent,
  • provide investment, financial, trading, tax, or legal advice,
  • guarantee execution, pricing, liquidity, availability, or outcomes.

Polyaxis is a software provider only.

Polyaxis is not registered as a broker-dealer, futures commission merchant, investment adviser, commodity trading advisor, exchange, or trading venue in any jurisdiction.

4. Platform-Agnostic Trading Venue Model

Polyaxis may integrate with one or more Trading Venues. Supported Trading Venues may change at any time, and Polyaxis makes no commitment to continue supporting any specific Trading Venue.

Feature availability may vary by Trading Venue. Polyaxis does not guarantee feature parity across venues.

Users must independently agree to and comply with each Trading Venue's terms, rules, and policies. Polyaxis is not a party to those agreements and is not an agent of any Trading Venue.

Polyaxis does not control Trading Venue rules, pricing, liquidity, settlement, dispute resolution, or availability.

Any Orders submitted through the Services are submitted by the User to the applicable Trading Venue using permissions granted by the User. Polyaxis does not act as principal or counterparty.

Polyaxis's role is strictly limited to transmitting user-defined instructions through technical interfaces provided by Trading Venues and does not involve discretion, judgment, or control over Orders.

5. User Eligibility and Jurisdictional Responsibility

By using the Services, you represent and warrant that:

  • you are legally permitted to use the Services,
  • you are legally permitted to access and use each Trading Venue you connect to,
  • you comply with all applicable laws, regulations, and Trading Venue rules,
  • you understand the risks of markets, trading, and automation,
  • you are acting on your own behalf,
  • you are of legal age in your jurisdiction,
  • you are not subject to sanctions, export controls, or trade restrictions applicable to the Services.

Users are solely responsible for determining whether their use of any Trading Venue is lawful in their jurisdiction. Polyaxis does not represent that the Services or any Trading Venue are available or lawful in any particular location.

Polyaxis does not assess, monitor, track, or enforce geographic or jurisdictional eligibility for Trading Venues and does not verify user eligibility for Trading Venues.

6. Accounts, Access, and Security

You are responsible for maintaining the security of your account credentials, wallets, and connected Third-Party Services.

You are solely responsible for all activity conducted through your account. Polyaxis is not liable for unauthorized access resulting from your actions or omissions.

You may revoke access permissions at any time through supported mechanisms.

7. Wallets, Funds, and Custody

Users retain exclusive control of their funds and assets at all times.

Polyaxis:

  • does not custody or hold funds,
  • does not control assets,
  • does not access private keys,
  • cannot transfer or withdraw user funds.

Users may grant limited, revocable permissions that allow the Services to submit Orders to Trading Venues on the User's behalf.

Once permissions are granted, Polyaxis may submit Orders without further confirmation from the User.

8. Automated Trading Rules and Conditional Orders

8.1 User Responsibility

All Automated Trading Rules are defined, configured, and enabled by Users. Users are solely responsible for their strategies, parameters, and activation.

Users assume all risks associated with automation, including unintended behavior, rapid or repeated execution, partial fills, failures, or losses.

8.2 Templates and Examples

Any templates, examples, or default configurations are provided for convenience only and do not constitute advice or recommendations. Polyaxis does not guarantee results.

Users acknowledge they do not rely on Polyaxis for the suitability, legality, or appropriateness of any trading strategy.

8.3 No Monitoring or Intervention

Polyaxis does not monitor, evaluate, approve, or intervene in User strategies, Automated Trading Rules, or trading activity for suitability, risk, compliance, or performance.

Polyaxis has no obligation to suspend, modify, or terminate Automated Trading Rules based on losses, volatility, risk exposure, or outcomes.

8.4 Execution Limitations

Polyaxis makes no guarantees regarding timing, execution, fills, slippage, market availability, or uninterrupted operation.

Automated Trading Rules may trigger rapidly, repeatedly, partially, or not at all.

9. Paper Trading, Backtesting, and Simulations

Paper Trading, backtesting, and simulations are hypothetical and provided for informational purposes only.

Simulated or historical performance is not predictive of live results. Live trading conditions may differ materially.

Transitioning from simulated to live trading requires explicit User action.

10. Fees, Subscriptions, and Payments

Polyaxis charges Subscription fees for access to software features.

Fees are not based on trade volume, trading frequency, execution outcomes, or Trading Venue selection.

Polyaxis does not charge per-trade or volume-based fees.

Payments may be non-refundable except as expressly stated. Any refunds are discretionary. Pricing may change prospectively with notice.

11. Venue Compensation and Economic Neutrality

Polyaxis may receive compensation from Trading Venues in connection with providing, maintaining, or supporting technical integrations, including through builder, developer, or partner programs.

Such compensation:

  • is paid by the Trading Venue, not by Users,
  • does not change the price Users pay for the Services,
  • does not require Users to trade,
  • does not affect which Trading Venues are supported,
  • does not influence trade routing, strategy behavior, or execution decisions.

Polyaxis does not receive compensation based on individual Users' trading decisions or outcomes and does not design the Services to encourage trading activity.

12. Platform Monitoring and Data Usage

Polyaxis may monitor, log, and analyze usage, performance, and errors to operate, secure, debug, and improve the Services.

Polyaxis may access User data internally as necessary for these purposes.

Any external use of data is aggregated and anonymized in accordance with the Privacy Policy.

13. Prohibited Uses

Users may not engage in illegal activity, manipulate markets, circumvent safeguards, reverse engineer the Services, abuse automation or APIs, or interfere with platform integrity or security.

14. Suspension and Termination

Polyaxis may suspend or terminate access to the Services at its discretion.

Upon termination, Polyaxis has no obligation to maintain or preserve Automated Trading Rules or configurations.

Users remain solely responsible for managing positions on Trading Venues.

15. Intellectual Property

Polyaxis owns all rights to the Services, software, interfaces, and templates.

Users retain ownership of their strategies and data but grant Polyaxis a license to store, process, and execute them as necessary to provide the Services.

16. No Fiduciary or Advisory Relationship

No fiduciary, advisory, agency, or partnership relationship exists between Polyaxis and Users.

Polyaxis acts solely as a software provider.

17. Disclaimers of Warranties and Reliance

The Services are provided "as is" and "as available."

Polyaxis disclaims all warranties, express or implied.

Users acknowledge that they do not rely on Polyaxis for investment decisions, trading outcomes, risk management, or regulatory compliance.

18. Limitation of Liability

Polyaxis is not liable for trading losses, missed opportunities, automation outcomes, Trading Venue failures, or Third-Party Services.

To the maximum extent permitted by law, Polyaxis's total liability—regardless of the theory of liability—shall not exceed the Subscription fees paid by the User during the twelve (12) months preceding the claim.

Indirect, incidental, consequential, special, or punitive damages are excluded.

19. Indemnification

Users agree to indemnify and hold harmless Polyaxis from claims arising out of trading activity, Automated Trading Rules, violations of law or Trading Venue rules, or violations of these Terms.

20. Dispute Resolution and Arbitration

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

Any dispute shall be resolved by binding arbitration administered by the American Arbitration Association in New York, New York, on an individual basis.

Users waive the right to participate in class actions to the extent permitted by law.

21. Changes to Services or Terms

Polyaxis may modify or discontinue features at any time.

Polyaxis may update these Terms with notice. Continued use constitutes acceptance.

22. Miscellaneous

If any provision is unenforceable, the remainder remains in effect.

Users may not assign these Terms without consent. Polyaxis may assign freely.

Force majeure applies.

These Terms constitute the entire agreement.

Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and jurisdiction survive termination.
